Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Wide Area Intelligence (the “Service”), operated by InventiveHQ (“we”, “us”, or “our”). By creating an account, connecting a node, or sending requests through the gateway, you agree to these Terms. If you do not agree, do not use the Service.

The Service
Wide Area Intelligence is an OpenAI-compatible inference gateway. It routes each API request you send, in order, to: (a) an optional exact-match edge response cache; (b) inference nodes running on hardware you own and operate; and (c) optional cloud failover, served through our platform cloud providers and billed against prepaid credits you purchase.
The Service is the routing, caching, observability, and account layer. It does not include the compute performed on your nodes, which is provided entirely by you.

Accounts
You sign in with Google. You are responsible for maintaining the security of your Google account, your gateway API keys (wai_sk_…), and your node agent keys (wai_node_…). You must be at least the age of majority in your jurisdiction and able to form a binding contract. You are responsible for all activity that occurs under your account and keys.

Your nodes and hardware
Inference nodes run on hardware you own or are otherwise authorized to operate. You are solely responsible for that hardware, its physical security, its network connectivity, its electricity and cooling, and any models, weights, or software you run on it. You represent that you have all rights and licenses necessary to run the models you serve through your nodes.
We do not own, host, or control your nodes. The agent software establishes an outbound tunnel from your machine to the gateway; you are responsible for running it in a manner consistent with your own security policies and applicable law.

Acceptable use
You agree not to use the Service to:
- violate any applicable law or regulation, or infringe the rights of others;
- generate, store, or distribute illegal content, including child sexual abuse material;
- abuse, overload, probe, or attempt to circumvent the gateway, rate limits, billing, or other users' resources;
- send another party's data through cloud failover without the rights and consents required to do so;
- resell or relabel the Service in a way that misrepresents its origin or capabilities.
You are responsible for the lawfulness of the prompts you send and the outputs you receive, regardless of which tier served the request.

Prepaid credits and platform cloud
You may purchase prepaid credits to use platform cloud failover. Credits are charged per request at the listed model price plus the applicable markup shown at the time of use. Usage is metered in fractions of a cent and deducted from your balance; the platform refuses new credit-billed requests once your balance reaches zero.
Prepaid credits are sold in whole-dollar amounts, are denominated in US dollars, and are non-refundable except where a refund is required by applicable law. Credits have no cash value, cannot be transferred between accounts, and may not be redeemed for cash. Model prices and markup are subject to change; changes apply to usage occurring after the change takes effect.

Service availability; no SLA
The Service is provided on an “as is” and “as available” basis. We do not guarantee any level of uptime, latency, throughput, or availability, and we provide no service-level agreement. A substantial part of your inference capacity is your own hardware: if your node is offline, slow, or unhealthy, requests fail over only as your configuration permits, and may fail if no upstream is available. We may modify, suspend, or discontinue any part of the Service at any time.

Termination
You may stop using the Service and delete your account at any time by contacting us. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends. We may delete account data following termination, subject to the retention described in our Privacy Policy. Any remaining prepaid credit balance is forfeited on termination for cause and is otherwise non-refundable except where required by law.

Disclaimers and limitation of liability
To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We are not responsible for the accuracy, legality, or suitability of model outputs, which are generated by software running on your hardware or by third-party cloud providers.
To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the three months preceding the claim, or (b) USD $100.

Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Material changes will be communicated where practicable. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

Governing law
These Terms are governed by the laws of [JURISDICTION], without regard to its conflict-of-laws rules. The courts located in [JURISDICTION] will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
